1. Agreement to Terms
By accessing or using KeepAm ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and KeepAm Technologies Limited ("KeepAm," "we," "our," or "us"), a company registered in Nigeria.
You must be at least 18 years old to use this Service. By using KeepAm, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.
2. Description of Service
KeepAm is a tax compliance and financial management application designed for Nigerian freelancers, creators, and small business owners. The Service includes:
- Income and expense tracking: Record and categorise your earnings and business expenses
- Tax calculation: Estimate your tax liability based on the information you provide
- Receipt management: Upload and store receipt images
- Tax reports: Generate reports summarising your financial data
- Invoicing: Create and send invoices to your clients
- Bank connections: Connect bank accounts to automatically import transactions (where available)
- Filing assistance: Checklists and guidance for tax filing preparation
Important Notice
The Service is a tool to help you organise your financial information. It is not a substitute for professional tax advice.
3. Account Registration
Creating an Account
To use KeepAm, you must create an account by providing:
- A valid Nigerian phone number
- Any additional information requested during registration
Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately at support@keepam.ng if you suspect unauthorised access
We are not liable for any loss or damage arising from your failure to protect your account credentials.
Account Accuracy
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
One Account Per Person
Each person may only maintain one account. We reserve the right to terminate duplicate accounts.
4. Subscription and Payments
Free and Paid Tiers
KeepAm offers both free and paid subscription tiers. The features available to you depend on your subscription level.
Subscription Fees
- Paid subscriptions are billed in Nigerian Naira (₦)
- Fees are charged in advance on a monthly or annual basis, depending on your chosen plan
- All fees are non-refundable except as expressly stated in these Terms or required by law
Payment Processing
Payments are processed by Flutterwave. By subscribing to a paid plan, you agree to Flutterwave's terms of service. We do not store your full payment card details.
Automatic Renewal
Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.
Price Changes
We may change subscription fees at any time. For existing subscribers, fee changes will take effect at the start of the next billing period following notice of the change. Your continued use of the Service after a price change constitutes acceptance of the new fees.
Failed Payments
If a payment fails, we may suspend your access to paid features until payment is successfully processed. We will attempt to notify you of payment failures.
5. Your Use of the Service
Permitted Use
You may use KeepAm only for lawful purposes and in accordance with these Terms. You agree to use the Service only for:
- Managing your own personal or business tax and financial records
- Creating invoices for your legitimate business activities
- Preparing for tax compliance with Nigerian tax authorities
Prohibited Conduct
You agree not to:
- Violate laws: Use the Service for any unlawful purpose, including tax evasion or fraud
- Misrepresent information: Enter false or misleading financial information with intent to deceive
- Interfere with the Service: Attempt to disrupt, overload, or impair the Service or its infrastructure
- Circumvent security: Attempt to bypass any security measures or access areas of the Service you are not authorised to access
- Reverse engineer: Decompile, disassemble, or reverse engineer any part of the Service
- Automate access: Use bots, scrapers, or automated tools to access the Service without our permission
- Resell the Service: Sublicense, resell, or commercially exploit the Service without our written consent
- Harm others: Use the Service to harass, abuse, or harm another person
- Infringe rights: Upload content that infringes the intellectual property rights of others
Compliance with Tax Laws
You are solely responsible for your compliance with all applicable tax laws. KeepAm provides tools to help you organise your information, but compliance with tax obligations remains your responsibility.
6. User Content and Data
Your Data
You retain ownership of all data you enter into KeepAm, including income entries, expense records, receipt images, and invoice information ("Your Data").
Licence to Us
By using the Service, you grant us a limited licence to store, process, and display Your Data solely for the purpose of providing and improving the Service. We will not use Your Data for any other purpose without your consent.
Data Accuracy
You are responsible for the accuracy and completeness of Your Data. KeepAm performs calculations based on the information you provide. Inaccurate input will result in inaccurate output.
Backup
While we maintain backups of our systems, you are encouraged to regularly export your data. We are not liable for any loss of Your Data.
Data Deletion
Upon account deletion, Your Data will be removed in accordance with our Privacy Policy. Certain records may be retained as required by law.
7. Invoicing Feature
Your Responsibility
When you use KeepAm to create and send invoices:
- You are responsible for the accuracy of invoice details
- You are responsible for complying with Nigerian invoicing and tax requirements
- You represent that you have a legitimate business relationship with the invoice recipient
Third-Party Information
Invoices require you to enter information about your clients. You represent that:
- You have the right to provide this information to us
- The information is accurate
- You will use the invoicing feature only for legitimate business purposes
Invoice Delivery
We will attempt to deliver invoices via the email address you specify. We are not responsible for failed deliveries due to incorrect email addresses, spam filters, or recipient email server issues.
Payment Collection
KeepAm facilitates invoice creation and tracking. We do not process payments between you and your clients. You are responsible for collecting payment and resolving any disputes with your clients.
8. Bank Account Connections
Open Banking
KeepAm offers the ability to connect your bank accounts through our integration partner, Mono Technologies ("Mono"). This feature is optional.
Authorisation
By connecting a bank account, you:
- Authorise Mono to access your bank account information on your behalf
- Agree to Mono's terms of service and privacy policy
- Confirm you are the account holder or have authority to connect the account
Read-Only Access
Bank connections provide read-only access to your transaction history. Neither KeepAm nor Mono can initiate transactions, transfer funds, or modify your bank account in any way.
Data Use
Transaction data imported through bank connections is used solely to help you track income and expenses. We will not share this data except as described in our Privacy Policy.
Disconnection
You may disconnect your bank account at any time through your account settings. Disconnection stops future data imports but does not automatically delete previously imported transactions.
Third-Party Service
Mono is an independent service provider. We are not responsible for Mono's availability, security practices, or any issues arising from your use of their service.
9. Intellectual Property
Our Property
The Service, including its design, features, code, graphics, logos, and content (excluding Your Data), is owned by KeepAm Technologies Limited and protected by Nigerian and international intellectual property laws.
Limited Licence
We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose, subject to these Terms.
Restrictions
You may not:
- Copy, modify, or distribute any part of the Service
- Use our trademarks, logos, or branding without written permission
- Remove any copyright or proprietary notices from the Service
Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use such feedback without compensation or attribution to you.
10. Disclaimers
Not Tax Advice
KeepAm is not a tax advisory service. The Service provides tools to help you organise financial information and estimate tax liability, but it does not constitute tax, legal, or financial advice.
Tax calculations are estimates based on the information you provide and our understanding of applicable tax rules. Tax laws are complex and subject to change. Individual circumstances vary.
You should consult a qualified tax professional or accountant before making tax decisions or filing tax returns. KeepAm is not responsible for any errors in your tax filings or any penalties, interest, or other consequences arising from your reliance on the Service.
"As Is" Service
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or completeness of information
- Uninterrupted or error-free operation
No Guarantee
We do not guarantee that:
- The Service will meet your specific requirements
- The Service will be available at all times or in all locations
- Any errors will be corrected
- The Service is free of viruses or harmful components
Third-Party Services
The Service may integrate with third-party services (such as Flutterwave, Mono, and email providers). We are not responsible for the availability, accuracy, or practices of these third parties.
11. Limitation of Liability
Cap on Liability
To the maximum extent permitted by Nigerian law, KeepAm's total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or Ten Thousand Naira (₦10,000), whichever is greater.
Exclusion of Damages
To the maximum extent permitted by law, KeepAm shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Cost of substitute services
- Damages resulting from unauthorised access to your account
- Damages resulting from errors in tax calculations or filings
- Damages arising from third-party services
Exceptions
Nothing in these Terms excludes or limits liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded by Nigerian law
Acknowledgment
You acknowledge that the limitations in this section are reasonable given the nature of the Service and the fees charged, and that you have had the opportunity to seek independent legal advice.
12. Indemnification
You agree to indemnify, defend, and hold harmless KeepAm, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights
- Any content you submit through the Service
- Any tax penalties or liabilities resulting from your use of the Service
13. Termination
Termination by You
You may terminate your account at any time by contacting us at support@keepam.ng or using the account deletion feature in the app. Termination does not entitle you to a refund of any prepaid fees.
Termination by Us
We may suspend or terminate your account at any time, with or without notice, if:
- You breach these Terms
- We are required to do so by law
- We discontinue the Service
- We believe your account has been compromised
- Your use of the Service poses a risk to us, other users, or third parties
Effect of Termination
Upon termination:
- Your right to use the Service immediately ceases
- We may delete Your Data in accordance with our Privacy Policy
- Provisions of these Terms that by their nature should survive termination will survive (including Disclaimers, Limitation of Liability, Indemnification, and Governing Law)
14. Governing Law and Disputes
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
Dispute Resolution
Any dispute arising from or relating to these Terms or the Service shall be resolved as follows:
- Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting us at legal@keepam.ng. We will attempt to resolve the dispute within 30 days.
- Mediation: If informal resolution fails, either party may submit the dispute to mediation under the Lagos Multi-Door Courthouse or another mutually agreed mediation centre.
- Arbitration or Litigation: If mediation fails, disputes shall be resolved by binding arbitration under the Arbitration and Mediation Act 2023 or by the courts of Lagos State, Nigeria, at our option.
Class Action Waiver
To the extent permitted by law, you agree to resolve disputes with us on an individual basis and waive any right to participate in a class action or class-wide arbitration.
15. General Provisions
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and KeepAm regarding the Service.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment
You may not assign or transfer these Terms or your rights under them without our written consent. We may assign our rights and obligations without restriction.
No Agency
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and KeepAm.
Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, internet outages, or power failures.
Notices
We may provide notices to you by email, in-app notification, or by posting on the Service. You may provide notices to us by email at legal@keepam.ng.
Language
These Terms are written in English. Any translations are provided for convenience only, and the English version shall prevail in case of conflict.
16. Changes to These Terms
We may revise these Terms at any time. Material changes will be notified to you by email or through the Service at least 14 days before they take effect, except where changes are required by law.
Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may request deletion of your account.
